1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Bandera AI Ltd ("Company", "we", "us", or "our"), a company registered in England and Wales with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom.

By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

2. Intellectual Property

The platform, including its original content, features, and functionality, is owned by Bandera AI Ltd and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Bandera AI Ltd.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the platform and for any activities or actions under your password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. User Content

Our platform allows you to post, link, store, share, and otherwise make available certain information, text, graphics, or other material ("User Content"). You are responsible for the User Content that you post, including its legality, reliability, and appropriateness.

By posting User Content, you grant us the right to:

• Use, modify, and display such content in connection with the platform
• Use anonymized and aggregated data derived from your content to improve our services
• Store and back up your content as necessary for platform operation

5. Prohibited Uses

You agree not to use the platform:

• In any way that violates any applicable national or international law or regulation
• To transmit any advertising or promotional material, including spam or similar solicitation
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the platform
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the platform or any server, computer, or database connected to the platform

6. Subscriptions and Billing

Some parts of the platform are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis, depending on the type of subscription plan you select.

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or Bandera AI Ltd cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting our customer support team.

7. Free Trials

Bandera AI Ltd may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial"). You may be required to enter your billing information in order to sign up for the Free Trial.

If you do enter your billing information when signing up for the Free Trial, you will not be charged until the Free Trial has expired. On the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees.

8. Limitation of Liability

In no event shall Bandera AI Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, use, goodwill, or other intangible losses
• Any damages resulting from unauthorized access to or use of our servers and/or any personal information stored therein

The limitations apply whether the alleged liability is based on:

• Contract
• Tort (including negligence)
• Strict liability or any other basis

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the platform or contact us to request account deletion.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the platform.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Dispute Resolution

Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the exclusive jurisdiction of the courts of England and Wales.

13. Entire Agreement

These Terms constitute the entire agreement between us regarding our platform, and supersede and replace any prior agreements we might have between us regarding the platform.
